A few days ago, headlines said Zepto had quietly put its IPO on ice. On Friday, the company decided to answer those headlines directly, and the message was less a denial than a reframing of the timeline entirely.

In an official statement, Zepto confirmed it will go ahead with a pre-IPO private placement of equity, having already reached an agreement with major shareholders on the move. The company said the fresh capital will strengthen a balance sheet that already looked comfortable, Rs 5,681 crore in cash with zero debt as of March 31, 2026. Zepto's own words carried the real signal here: the board and founders have received terms from public market investors interested in listing the company, but given how strong the balance sheet already is, the company plans to keep focusing on execution rather than rushing to the market.

That is corporate language for buying time without technically backing down. Zepto said it will update its draft red herring prospectus with fresh operating results and financials over the coming quarters, and still intends to list within the window SEBI has permitted under its approved filing, just not necessarily on the original clock investors may have expected.

The statement lands just days after multiple reports suggested Zepto had postponed its IPO altogether amid unresolved valuation discussions, with talk of a pre-IPO round exceeding Rs 1,000 crore from existing backers including Glade Brook, General Catalyst, Goodwater Capital, and Nexus Venture Partners. Zepto had originally targeted an IPO of around Rs 8,000 crore, filing an updated DRHP in June for a Rs 8,010 crore fresh issue and securing SEBI's approval soon after, though recent reports pointed to that number possibly shrinking to Rs 5,000-6,000 crore.

The financial backdrop explains some of the caution. Zepto's FY26 operating revenue doubled to Rs 11,110 crore from Rs 5,454 crore, but its net loss widened 26% to Rs 5,905 crore in the same stretch, numbers that make a strong cash cushion look less like comfort and more like necessity.
